EY Director & Partner (Strategy and Transactions) Interview Questions & Answers (2025 Guide)

Reaching the Director or Partner level in EY's Strategy and Transactions (SaT) practice places you at the pinnacle of the M&A ecosystem. You are a top-tier deal advisor, responsible for originating and leading complex transactions, owning the firm's most critical relationships with C-suite executives, private equity funds, and investment bankers. Your role is to drive the growth strategy of the practice, manage its profitability and risk, and act as a key steward of the firm's brand in the high-stakes world of corporate finance, all while embodying EY's purpose of "building a better working world."

Eligibility Criteria (Director / Partner):

  • Qualification: A CA, top-tier MBA, or CFA is standard.
  • Experience: 12-15+ years of extensive M&A advisory, FDD, or valuations experience. A proven, portable book of business or an exceptionally powerful network of deal-making contacts is essential.
  • Skills: Elite-level sales, negotiation, and C-suite relationship management skills. A recognized expert with a strong personal brand in the M&A community. Proven ability to build and lead a profitable practice.

Compensation Structure (as of September 11, 2025):

  • Director: The compensation is a very significant package, typically ranging from ₹1.3 Crores to ₹2.5 Crores+ per annum, which includes a large variable bonus heavily tied to the success and profitability of the deals you lead.
  • Partner: As a firm owner, a Partner's earnings are a share of the profits (drawings). For a successful SaT partner, this is highly variable but typically starts in the range of ₹3.5 Crores and can extend to ₹15 Crores+ for top dealmakers.

Below are the five key areas you will be assessed on, along with the strategic topics you can expect to discuss.

EY Interview Questions

1. Business Case & Commercial Acumen

This is your primary pitch. You must prove you are a "rainmaker" who can originate a consistent flow of profitable M&A work.

Strategic Questions to Expect:

  • "Walk us through your business plan to originate and close ₹25 Crores in advisory fees over the next three years. Which specific client relationships and market trends will drive this?"
  • "How do you price a large, competitive due diligence project where a significant portion of the fee is contingent on the deal closing?"
  • "Describe your strategy for building a multi-year, recurring revenue relationship with a major private equity fund, making us their advisor of choice across their portfolio."
  • "How do you assess the commercial viability of investing non-chargeable firm resources into a pitch that we only have a 25% chance of winning?"

Hallmarks of a Successful Candidate:

  • You present a credible, specific, and quantifiable business case for revenue generation.
  • You have a sophisticated understanding of pricing complex, often contingent-fee, transaction work.
  • You can clearly articulate a strategy for building and monetizing a powerful network.
  • You demonstrate a track record of running a profitable book of business.
💡 Why This Answer Works: The Strategy and Transactions practice is a high-revenue, high-stakes business. The partners are investing in your ability to originate and win profitable work. Your business case must provide absolute confidence that you are a rainmaker who will generate a significant return on their investment in you.

2. Market Presence & Personal Brand

This area assesses your reputation and influence within the M&A ecosystem. The firm isn't just hiring your skills; it's hiring your network.

Strategic Questions to Expect:

  • "How are you perceived by the Managing Directors at the top investment banks and M&A law firms? How would they describe your commerciality and ability to get a deal done?"
  • "What is your strategy for being the first person a major corporate or PE fund calls when they are contemplating a transaction?"
  • "How does your personal brand help EY achieve its purpose of 'building a better working world' within the M&A community?"
  • "Describe your track record of building a market-facing brand through conferences, media, and thought leadership that directly led to new business."

Hallmarks of a Successful Candidate:

  • You are known in the market as a "deal maker" with a reputation for commercial insight and flawless execution.
  • Your network is a proven, consistent source of proprietary deal flow, not just public auctions.
  • You are seen as a go-to expert in a specific industry sector or transaction type.
  • You have the executive presence to confidently lead a pitch and command a boardroom.
💡 Why This Answer Works: Deals are won on relationships and reputation. Your personal brand as a credible, authoritative, and trusted advisor is the firm's most powerful asset in the marketplace. The partners are assessing whether your reputation will attract the highest-quality clients and transactions to the firm.

3. Leadership & Stewardship

This assesses your ability to lead and develop elite transaction talent in a high-pressure, high-burnout environment.

Strategic Questions to Expect:

  • "The 'deal lifestyle' is notoriously demanding and leads to high attrition. What is your specific strategy for attracting, developing, and retaining the best M&A talent who are also aligned with our people-first culture?"
  • "How do you mentor your Senior Managers to develop their own deal origination skills and prepare them for partnership?"
  • "How do you build a team culture that is both incredibly high-performing and resilient?"
  • "Beyond your own team, how will you contribute to the leadership and strategy of the broader Strategy and Transactions practice?"

Hallmarks of a Successful Candidate:

  • You have a proven track record of building loyal, low-attrition, high-performing deal teams.
  • You can articulate a clear vision for creating a positive, inclusive, and sustainable team culture.
  • You are a dedicated mentor who is actively involved in sponsoring the next generation of leaders.
  • You think like a firm steward, focused on building the practice's capabilities for the long term.
💡 Why This Answer Works: The firm's ability to execute deals depends entirely on the quality and motivation of its people. The partners must see you as a leader who can build and sustain the human capital engine required to grow the practice for the long term.

4. Risk Management & Professional Judgment

In the high-stakes world of M&A, your judgment is your most critical asset. This assesses your ability to protect the firm from risk.

Strategic Questions to Expect:

  • "Describe a time you advised a client to walk away from a deal based on your team's diligence findings, even though it meant losing a significant success fee. What was your decision-making process?"
  • "How do you manage the immense reputational risk if a company collapses shortly after you provided a clean due diligence report on it?"
  • "How do you handle potential conflicts of interest when advising multiple parties in the same industry, or on both sides of a transaction over time?"
  • "Describe the toughest judgment call you've had to make on a live deal where the data was ambiguous and the stakes were high."

Hallmarks of a Successful Candidate:

  • You demonstrate the courage and integrity to give difficult advice, even when it is not commercially favorable in the short term.
  • You have a sophisticated framework for assessing engagement risk in a high-pressure, fast-paced environment.
  • You can show that you prioritize the firm's long-term reputation over any single fee.
  • You exhibit unwavering professional integrity.
💡 Why This Answer Works: A single bad deal can lead to litigation and catastrophic reputational damage. The partnership must have absolute, unconditional trust in your judgment and your ability to be the final line of defense, protecting the firm from harm in high-stakes situations.

5. Cultural Fit & Firm Values

This assesses your ability to succeed as a leader within EY's globally integrated and purpose-driven partnership.

Strategic Questions to Expect:

  • "A successful transaction requires seamless collaboration between our SaT, Tax, and Consulting teams. How do you foster this 'One Firm' approach?"
  • "What does 'building a better working world' mean to you when advising on a complex restructuring that may involve job losses?"
  • "Partnership requires a deep sense of ownership. Describe how you've demonstrated an 'owner's mindset' throughout your career."
  • "Why do you believe you will be a successful Partner at EY, and what will be your unique contribution to our partnership?"

Hallmarks of a Successful Candidate:

  • You demonstrate a collaborative, globally-minded approach.
  • You can articulate a clear and personal alignment with EY's purpose-led brand.
  • You show a history of being a team player who puts the collective good of the firm first.
  • You come across as a trustworthy and constructive colleague who the other partners want on their team for the long term.
💡 Why This Answer Works: The partnership is a long-term business relationship. The existing partners are choosing a new co-owner of their business. They must be convinced that you will be a collaborative leader who will enhance the firm's culture and contribute to its collective success.
